These Terms of Sale ("Terms") form a binding agreement between you and Optimix Compounds ("Optimix", "we", "us") covering your access to and purchase from optimixcompounds.com and any related services (the "Site"). By placing an order or using the Site, you agree to these Terms.

If you do not agree, do not use the Site or place an order.

1. Research use only

All products sold by Optimix Compounds are research chemicals supplied for in-vitro laboratory research and analytical reference use exclusively. They are not intended for human or veterinary consumption, diagnostic use, or therapeutic application.

By placing an order you affirm that:

  • You are at least 21 years of age
  • You are a qualified researcher, scientist, or authorized agent of a research entity
  • Products will be used solely for in-vitro research in compliance with all applicable local, state, and federal laws
  • You will not resell, distribute, transfer, or administer products to any human or animal
  • You will not represent products as fit for human consumption, treatment, prevention, or diagnosis of any condition

We may refuse, cancel, or reverse any order at our discretion if we have a reasonable basis to believe these affirmations are inaccurate.

2. Eligibility and accounts

You must be the legal age of majority in your jurisdiction to place an order (21+ in the United States). If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity on the account. Notify us promptly of any unauthorized use.

We currently ship to addresses within the United States only. We do not knowingly accept orders from jurisdictions where the sale or possession of a given research compound is restricted; the burden of compliance with your local laws is yours.

3. Orders, pricing, payments

  • All prices are in US dollars and may change without notice. The price displayed at checkout is the price you will be charged.
  • Placing an order constitutes an offer to purchase. We confirm acceptance by sending an order-confirmation email and reserving inventory; orders are not binding on Optimix until that confirmation is sent.
  • Reservation holds inventory for up to 48 hours for concierge payment rails (Zelle, wire, CashApp Business, Venmo Business). An Optimix agent will follow up with payment instructions after reservation.
  • Crypto payments are processed via NOWPayments and confirmed automatically. Card payments, if offered, are processed via our payment partners.
  • We reserve the right to limit quantities, correct pricing errors, decline orders, or cancel orders before fulfillment.

4. Shipping

  • We ship to U.S. addresses using protective packaging designed to maintain compound stability. Cold-chain dispatch occurs within 48 hours of confirmed payment for in-stock items.
  • We do not ship on Thursdays or Fridays to avoid weekend transit times.
  • Risk of loss transfers to you upon delivery to the carrier. Carrier transit times are estimates and not guaranteed.
  • You are responsible for providing an accurate shipping address and for receiving the package. Re-shipment of returned-to-sender packages is at your expense.

5. Returns, refunds, replacements

Due to the nature of research compounds, returns and refunds are limited:

  • Damaged or incorrect items. Report within 48 hours of delivery with photos. We will replace or refund at our discretion.
  • Unopened, unbroken seals. Generally not eligible for return. Contact support if you have a special circumstance.
  • Opened or broken seals. Not eligible for return or refund.
  • Cancellations. Orders cancelled before fulfillment are refunded in full. Orders cancelled after shipment are subject to the policies above.

We do not refund for items lost in transit until 21 days after the carrier ship date.

6. Intellectual property

The Site, including its text, graphics, photographs, logos, and code, is the property of Optimix Compounds or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent, except for normal browser caching and personal non-commercial use.

"Optimix Compounds" and our logo are unregistered trademarks of Optimix Compounds.

7. User conduct

You agree not to:

  • Use the Site for any unlawful purpose
  • Reverse-engineer, decompile, or attempt to extract source code (except as permitted by law)
  • Use automated scraping, crawling, or harvesting beyond reasonable, respectful access
  • Interfere with the operation of the Site or the security of other users
  • Submit false, misleading, or fraudulent information, including in order forms or compliance affirmations

8. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or virus-free, nor that product specifications are suitable for any specific research design.

Nothing in these Terms excludes liability that cannot be excluded by law.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMIX COMPOUNDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCT. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATING TO A PRODUCT IS LIMITED TO THE AMOUNT YOU PAID FOR THAT PRODUCT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Optimix Compounds and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of a product, your violation of any law, or your infringement of any third party's rights.

11. Dispute resolution

Informal first. Before filing a formal claim, please contact us at support@optimixcompounds.com so we can try to resolve your concern informally.

Binding arbitration. Any dispute not resolved informally within 30 days will be resolved by binding individual arbitration under the rules of the American Arbitration Association, conducted in English in the State of Delaware. Each party will bear its own costs.

Class-action waiver. You and Optimix Compounds agree to resolve disputes only on an individual basis. Neither party may bring or participate in a class, consolidated, or representative action.

Exception. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened infringement of intellectual property.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Subject to the arbitration provision above, exclusive jurisdiction for any non-arbitrable dispute lies in the state and federal courts located in Delaware.

13. Force majeure

Neither party is liable for delay or failure to perform when the cause is beyond reasonable control, including natural disasters, war, terrorism, labor disputes, supply-chain disruption, governmental action, public-health emergencies, or carrier failures.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable while preserving its intent.

15. Entire agreement

These Terms, together with our Privacy Policy and any order-confirmation documents, constitute the entire agreement between you and Optimix Compounds regarding your purchase. No prior or contemporaneous communications modify these Terms unless expressly agreed in writing.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. Material changes will be highlighted on the Site or in an email to recent customers. Continued use after an update constitutes acceptance.
